1. Definitions
In these Terms:
- "Heirloomly", "we", "us", "our" refers to the service provider operating under the name Heirloomly, based at 22/5 Ratchadamnoen Road, Si Phum, Mueang Chiang Mai, Chiang Mai 50200, Thailand.
- "Client", "you", "your" refers to the individual or family engaging our services.
- "Service" refers to any of the estate organisation and document support offerings described on our website.
- "Agreement" refers to these Terms together with any written service outline or booking confirmation provided to you.
2. Acceptance of Terms
By booking a session, engaging our services, or submitting an enquiry through our website, you confirm that you are 18 years of age or older and that you have the capacity to enter into this Agreement. These Terms apply to all services we provide.
3. Service Description
Heirloomly provides general estate organisation and document support services, including:
- Educational sessions on household document organisation (Family Records Talks)
- Keepsake inventory creation and support (Keepsake Inventory Support)
- Extended archive building and maintenance (Full Archive Companion)
All services are non-regulated general information and organisational services. We do not provide legal advice, financial advice, notarial services, translation services, or any other service requiring a professional operating licence. Nothing in our sessions or outputs should be construed as legal, financial or professional opinion.
4. Service Scope and Changes
The scope of each engagement is agreed in writing before work begins. If additional work is required beyond the agreed scope, we will discuss this with you and provide a written amendment before proceeding. We will not carry out out-of-scope work without your prior agreement.
5. Client Responsibilities
You agree to:
- Provide accurate information about the scope of work at the outset
- Give us reasonable access to the materials and premises needed to carry out the agreed service
- Inform us of any special sensitivities or considerations relevant to the engagement
- Not use our services for any unlawful purpose
6. Confidentiality
We treat all client information and all materials we encounter during a session as strictly confidential. We will sign a confidentiality agreement before any engagement begins. We do not retain, copy or remove client documents. All original materials remain with the client at all times.
7. Intellectual Property
Any written outputs we produce (inventory documents, session summaries, archive binders) are provided to you for your personal and family use. You may share these outputs within your family. You may not reproduce or distribute them commercially without our prior written consent. Our website content, methodology and materials remain the intellectual property of Heirloomly.
8. Payment Terms
Pricing for each service is as published on our website at the time of booking. Payment is due as follows:
- Family Records Talks: full payment due prior to the session
- Keepsake Inventory Support: 50% deposit at booking, balance on completion
- Full Archive Companion: schedule agreed in writing at the start of engagement
All prices are in Thai Baht (฿). We accept bank transfer and cash. Receipts are provided for all payments.
9. Cancellation and Rescheduling
Sessions cancelled with more than 48 hours' notice may be rescheduled at no charge. Cancellations within 48 hours may be subject to a rescheduling fee of 20% of the session cost. We reserve the right to reschedule sessions due to circumstances beyond our control and will give as much notice as possible in such cases.
10. Disclaimers
Our services are provided in good faith based on the information available and the materials presented during sessions. We make no representation about the legal validity, completeness or accuracy of documents we help organise — our role is organisational, not advisory. We are not responsible for decisions made on the basis of documents we have helped organise.
11. Limitation of Liability
To the extent permitted by Thai law, our liability to you in connection with any service is limited to the amount paid by you for that service. We are not liable for any indirect or consequential loss arising from the use of our services.
12. Indemnification
You agree to indemnify us against any claim, loss or expense arising from your breach of these Terms or your use of our services in a manner not contemplated by the agreed scope.
13. Termination
Either party may terminate an ongoing engagement with reasonable written notice. In the event of termination, we will provide a written summary of work completed to date and any outputs produced. Payments due for work completed are not refundable.
14. Dispute Resolution
We hope that any concerns can be resolved informally. If a formal dispute arises, the parties agree to attempt mediation in good faith before pursuing other remedies. These Terms are governed by the laws of Thailand, and any disputes shall be subject to the jurisdiction of the courts of Chiang Mai Province.
15. General Provisions
- Entire Agreement: These Terms, together with any written service outline, constitute the entire agreement between the parties in relation to the relevant service.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
- Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of that provision.
- Assignment: You may not assign your rights or obligations under these Terms without our prior written consent.
16. Changes to These Terms
We may update these Terms from time to time. The current version is always available on our website. Continued use of our services after an update constitutes acceptance of the revised Terms.
